License Agreement

1) What this agreement does

This End-User License Agreement ("EULA") is a legal agreement between you and Torres Music LLC ("we," "us," "our") for use of Sage (the "App"). By using Sage, you agree to this EULA.

2) License to use the app

We grant you a limited, non-exclusive, non-transferable, revocable license to use Sage for your internal business use. This is a license only, not a transfer of ownership.

3) Things you cannot do

• Copy, resell, rent, sublicense, or redistribute Sage.
• Reverse engineer Sage, except where law permits.
• Use Sage for unlawful, fraudulent, or abusive activity.
• Bypass security controls or interfere with normal app operation.

4) QuickBooks and other third-party services

Sage may connect to QuickBooks Online and other third-party services. Those services are governed by their own terms and policies. We are not responsible for third-party outages, policy changes, or third-party handling of data.

5) Privacy

By using Sage, you authorize us to process data needed to operate Sage and provide support. For privacy questions or requests, contact us at privacy@fdtorres.com.

6) Changes, availability, and support

We may update, change, pause, or discontinue Sage or any feature at any time. Support may be offered at our discretion, unless otherwise agreed in writing.

7) Fees

Sage is currently free to use.

8) No warranties

To the fullest extent permitted by law, Sage is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

9) Limitation of liability

To the fullest extent permitted by law, Torres Music LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.

Our total liability for claims related to Sage is limited to the greater of: (a) amounts paid by you for Sage in the 12 months before the claim, or (b) USD $100.

10) Indemnification

You agree to indemnify and hold harmless Torres Music LLC from claims, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your misuse of Sage or violation of this EULA.

11) Ending access

This EULA remains in effect until terminated. We may suspend or terminate your access if you violate this EULA or if Sage is discontinued. When access ends, your license ends immediately and you must stop using Sage.

12) Governing law

This EULA is governed by the laws of the State of Texas, without regard to conflict-of-law principles.

13) Updates to this EULA

We may update this EULA from time to time. Updated versions become effective when posted with a revised effective date. Continued use of Sage after updates means you accept the revised EULA.
